Terms of Use

1. Acceptance of these terms

These Terms of Use (the "Terms") govern your access to and use of nuxfamily.ng and any subdomains (the "Site"), operated by NuxFamily Nigeria ("NuxFamily", "we", "us"). By accessing the Site you agree to these Terms. If you do not agree, please do not use the Site.

These Terms apply to the public website only. Any services we provide to a client (assessments, platform design, implementation, migration, support or operation) are governed by a separate written agreement, and nothing on the Site forms part of such an agreement unless that agreement says so.

2. Informational content

The Site describes NuxFamily's services, technologies and experience, and publishes articles, case studies, tools and reference material about private cloud, data platforms and related topics. All of this is provided for general information.

Regulatory content is not legal advice. The Site refers to regulations and directives, including the Central Bank of Nigeria's requirements on payment data localisation and the Nigeria Data Protection Act 2023. These references summarise our understanding at the date of publication and are intended to give context. They are not legal, regulatory or compliance advice, they may not reflect the latest position, and they do not take account of your organisation's circumstances. You should obtain advice from qualified counsel and consult the primary texts before making decisions based on them.

Tools and calculators. The data localisation readiness quiz and any other interactive tool on the Site produce indicative results from the answers you give. They are not an assessment of your compliance, a certification or a recommendation on which you should rely without further analysis.

Case studies and figures. Case studies describe past engagements. Client identities may be anonymised. Figures reflect the outcomes reported for those engagements and are not a promise of comparable results for any other organisation. Statements about response times, service levels and support scope on the Site are descriptive; the binding terms are those in the applicable service agreement.

3. Permitted use

You may use the Site for lawful purposes connected with evaluating or obtaining information about NuxFamily. You must not:

• use the Site in a way that breaches any applicable law or regulation, or infringes anyone's rights;
• attempt to gain unauthorised access to the Site, its administration area, its infrastructure or any connected system;
• introduce malicious code, probe or scan for vulnerabilities without our written permission, or interfere with the Site's operation;
• use automated means to extract content at scale, other than search engines indexing public pages in accordance with our robots directives;
• submit false, misleading or unlawful information through our forms, or impersonate another person or organisation;
• reproduce, frame or mirror the Site or substantial parts of it without our written consent.

We may suspend or block access to the Site where we reasonably believe these Terms have been breached.

4. Intellectual property

The Site and its content (text, diagrams, illustrations, photographs, layouts, code, the NuxFamily name and logo) are owned by NuxFamily or its licensors and are protected by copyright, trade mark and other intellectual property laws of Nigeria and other countries.

You may view, download and print pages from the Site for your own internal, non-commercial evaluation, provided you keep all copyright and proprietary notices intact. Any other use, including publication, redistribution or commercial exploitation, requires our prior written permission. Whitepapers and other downloadable material are licensed to you for internal use on the same basis.

Open-source software referred to on the Site is licensed by its respective authors under its own licence terms; nothing on the Site grants you rights in that software.

5. Third-party names, marks and logos

The Site mentions products, technologies and organisations that are not ours (for example VMware, Tanzu, Broadcom, SUSE, Rancher, Canonical, Ubuntu, Red Hat, OpenShift, Nutanix, Google, SoftwareOne, Kubernetes, PostgreSQL, Apache Kafka, Greenplum, Apache Cloudberry, Apache Iceberg, OpenSearch, OpenMetadata and Cloud Foundry), as well as the names of clients.

All such names, marks and logos are the property of their respective owners. They are used on the Site to identify the technologies we work with and the organisations we have worked for, and where applicable under the relevant owner's brand guidelines or with its permission. Their appearance does not imply that the owner endorses NuxFamily or that a formal partnership exists unless the Site expressly states so. If you own a mark shown on the Site and believe its use is incorrect, contact us and we will review it promptly.

6. Forms, submissions and communications

Information you submit through the Site is handled in accordance with our Privacy Policy. By submitting a form you confirm that the information is accurate and that you are entitled to provide it, including any details about your organisation.

Submitting a form or requesting a discovery session does not create a contract or an obligation on NuxFamily to provide services. We will respond at our discretion and any engagement will be subject to a separate agreement.

You should not send us confidential information through the Site. If you need to share confidential material with us, ask for a non-disclosure agreement first.

7. Links to other sites

The Site contains links to third-party websites, including regulators, standards bodies, technology vendors and open-source projects. We provide them for convenience. We do not control those sites, we are not responsible for their content or their privacy practices, and a link does not imply endorsement.

8. Availability and changes

We aim to keep the Site available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of the Site, including content and tools, at any time without notice. We may also revise these Terms; the date at the top shows the current version, and your continued use of the Site after a revision constitutes acceptance of it.

9. Disclaimers and limitation of liability

The Site and its content are provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, express or implied, including as to accuracy, completeness, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, NuxFamily, its affiliates, directors, employees and agents will not be liable for any loss or damage of any kind (including loss of profit, revenue, data, business or goodwill, and indirect or consequential loss) arising from or in connection with your use of, or inability to use, the Site or any content on it, or from reliance on any information on it, whether in contract, tort (including negligence) or otherwise.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

10. Indemnity

You agree to indemnify NuxFamily against any claims, losses and costs arising from your breach of these Terms or your misuse of the Site.

11. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Site, are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria, have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

12. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms. These Terms, together with the Privacy Policy and the Cookie Policy, are the entire agreement between you and NuxFamily regarding use of the Site.
